5. Pricing and Errors

All prices are listed in US dollars and do not include applicable sales tax, shipping charges, or any duties or import fees unless expressly stated at checkout. Prices are subject to change without notice.

Occasionally there may be information on our site that contains typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice — including after you have submitted your order.

If a product is listed at an incorrect price, we may either contact you for instructions before shipping or cancel your order and notify you. If we cancel an order that has already been charged, we will issue a full refund.

6. Orders

Your submission of an order constitutes an offer to purchase, not a completed sale. All orders are subject to our acceptance. No contract is formed until we send you a shipping confirmation.

We reserve the right to refuse, limit, or cancel any order for any lawful reason, including suspected fraud, failed payment authorization, pricing errors, product unavailability, or shipping restrictions.

You agree to provide current, complete, and accurate purchase and account information for all purchases made at our store, and to promptly update your account and other information, including your email address and payment details, so that we can complete your transactions and contact you as needed.

7. Payment

By providing a payment method, you represent that you are authorized to use it and you authorize us and our payment processors to charge the full order amount, including tax and shipping.

If your payment is declined, reversed, or charged back, we reserve the right to cancel your order and suspend your account, and to recover any amounts owed together with any fees incurred.

8. Shipping, Title, and Risk of Loss

Shipping methods, costs, and estimated delivery times are set out in our Shipping Policy, which forms part of these Terms.

Delivery dates are estimates and are not guaranteed. Title and risk of loss pass to you upon delivery of the products to the carrier. Claims for items damaged in transit are handled under our Return & Refund Policy.

Where an order is shipped from outside the United States, you may be responsible for any customs duties or import fees unless we state otherwise at checkout.

9. Returns and Refunds

All returns and refunds are governed by our Return & Refund Policy, which forms part of these Terms.

10. Product Warranty

Our products are covered by our Limited Warranty, which is available on our website and forms part of these Terms. The Limited Warranty sets out your exclusive warranty and remedies for defective products.

Our products are electrical goods. By purchasing from us, you agree that you will:

Read and follow all instructions, warnings, and safety information supplied with the product
Use the product only for its intended purpose and within its stated electrical and operational specifications
Confirm that the product is compatible with your electrical supply before use
Use a licensed electrician or other qualified professional for any product requiring hardwiring, permanent installation, or connection to building systems
Comply with all applicable national, state, and local codes, permits, and inspection requirements

We are not responsible for damage, injury, or loss arising from improper or unqualified installation, use outside stated specifications, modification of the product, or failure to follow the supplied instructions. Nothing on our website constitutes installation or engineering advice, or a representation that a product is suitable for your particular premises or application.

Where we provide a written warranty, any implied warranties are limited in duration to the period of that written warranty, to the extent permitted by law.

IN NO CASE SHALL POLIN ELECTRO SHOP, STARK WORLDWIDE LIMITED, OR OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF USE, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE OR ANY PRODUCT, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THEIR POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE PRODUCT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. Nothing in these Terms limits liability for death or personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited under applicable law.

17. Indemnification

You agree to indemnify, defend, and hold harmless Polin Electro Shop, STARK WORLDWIDE LIMITED, and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms of Service, your misuse or improper installation of any product, or your violation of any law or the rights of a third party.

18. Dispute Resolution — Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO PARTICIPATE IN A CLASS ACTION.

18.1 Informal Resolution. Before beginning arbitration, you agree to first contact us at support@polinelectro-shop.com with a written description of your dispute and to allow us 60 days to resolve it informally. Most issues are resolved at this stage. This step is a condition precedent to arbitration.

18.2 Agreement to Arbitrate. If we cannot resolve a dispute informally, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, our website, or any product or transaction will be resolved by binding individual arbitration rather than in court, except as provided in Sections 18.3 and 18.4.

Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at adr.org, and conducted in English. For claims under $25,000, the arbitration will be conducted by written submission unless the arbitrator determines a hearing is necessary; you may elect a telephonic or video hearing. The Federal Arbitration Act governs the interpretation and enforcement of this section.

18.3 Small Claims Exception. Either party may bring an individual claim in small claims court if the claim qualifies.

18.4 Injunctive Relief Exception. Either party may seek injunctive or equitable relief in court to protect its intellectual property rights.

18.5 Class Action Waiver. YOU AND WE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS PROCEEDING. YOU AND WE WAIVE ANY RIGHT TO A JURY TRIAL.

If this class action waiver is found unenforceable as to a particular claim or remedy, that claim or remedy — and only that claim or remedy — shall be severed and brought in court, and the remainder shall proceed in arbitration.

18.6 Your Right to Opt Out. You may opt out of this arbitration agreement and class action waiver. To do so, send written notice within 30 days of your first purchase to support@polinelectro-shop.com with the subject line "Arbitration Opt-Out," including your name, address, and the email address used for your order. Opting out affects only this section and will not affect your relationship with us in any other way.

18.7 Costs. Payment of filing, administration, and arbitrator fees is governed by the AAA Consumer Arbitration Rules. Where those rules require, we will pay the fees for which we are responsible.

18.8 Batch Arbitration. If 25 or more similar claims are asserted against us by or with the assistance of the same law firm or coordinated group, the parties agree that the claims will be administered in batches of no more than 50, with a single arbitrator per batch.

19. Governing Law

These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

For any dispute not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

20. Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, epidemics, government action, customs or port delays, carrier failures, supply chain disruption, or utility or network outages.

21. Severability

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed. Such determination shall not affect the validity and enforceability of any other remaining provisions.

22. Termination

The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.

These Terms of Service are effective unless and until terminated by either you or us. You may terminate these Terms at any time by notifying us that you no longer wish to use our Services, or by ceasing to use our site.

If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we may terminate this agreement at any time without notice, and you will remain liable for all amounts due up to and including the date of termination.

23. Entire Agreement

These Terms of Service, together with our Return & Refund Policy, Limited Warranty, Shipping Policy, and Privacy Policy, constitute the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior agreements or communications.

Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
